Commercial proposal
Fill in the fields and the proposal takes shape alongside, with the clauses already written: scope, timeline, price, payment terms, validity and confidentiality. Available in Portuguese, English or Spanish. When you are done, print it, and your browser's print dialog offers save as PDF.
Three steps, nothing to install.
Everything runs on your own computer, start to finish.
Name yourself and the client
Name, tax number and contact for each. These go into the header and the signature blocks.
Describe the work, the price and the dates
What you propose to do, for how much, in what time, and how long the proposal stands. Validity is the field people forget, and the one that protects the party proposing.
Print or save
The proposal is already finished alongside. Hit generate and pick your printer, or save as PDF from the print dialog itself.
An accepted proposal binds you
It is not a brochure with prices. It is a contractual offer: if the client accepts it within the validity period, you have a contract on the terms you wrote, even if nothing else is ever signed. That is why scope and validity deserve the same care you would give a contract.
Validity is your safety net
A proposal with no deadline can be accepted months later, at today's price and yesterday's costs. The clauses provide for a validity period and for revocation once it lapses, and the field exists to be filled with a number that makes sense for your business.
What is excluded matters as much as what is included
The scope clause pushes detail into annexes. Use it both ways: write what is in, and write what is not. End-of-project arguments are rarely about what was promised; they are about what the client assumed came along with it.
It calculates nothing
The amount you type is the amount that prints. The proposal does not add up line items, does not apply VAT, does not work out discounts and does not convert currency. If you need a priced schedule with the sums done, prepare it separately and attach it.
It is not an invoice and does not replace invoicing
An accepted proposal is not a tax document. Once the work is done, an invoice must be issued through software certified by the Portuguese tax authority, and that does not happen here.
It is a generic template, not legal advice
Written from common Portuguese practice, it covers ordinary cases. Proposals with penalties, exclusivity or transfer of intellectual property deserve review. The document carries that warning printed in the footer.
Questions about the commercial proposal.
Does the client have to sign the proposal?
It helps, but it is not always necessary. The clauses provide that acceptance occurs on signature and return, or on the start of performance, whichever comes first. A client who tells you to start has accepted the proposal, signed or not.
Can I change the price after sending it?
While the proposal is within its validity and has not been accepted, you can revoke it and send another. Once accepted, changing the price means changing a contract, and that needs the other side's agreement.
Should the amount include VAT?
Write it the way you will invoice it, and say so clearly. The clauses state that VAT is added at the rate in force, so writing the amount excluding VAT is consistent with the text. A consumer client usually wants to see the final figure.
Do I need an account?
Yes. Each document costs one euro, as a one-off purchase: you pay for that document and there is no monthly fee. The account is created by magic link, with no password. The declaration opens without paying, one a day.
Got work to propose?
