Non-disclosure agreement
Fill in the fields and the NDA takes shape alongside, with the clauses already written: subject matter, each party's obligations, term, exceptions and jurisdiction. Available in Portuguese, English or Spanish, and switching language keeps everything you have typed. When you are done, print it, and your browser's print dialog offers save as PDF.
Three steps, nothing to install.
Everything runs on your own computer, start to finish.
Name the parties
Enter who is disclosing the information and who is receiving it: name, tax number and contact. These are the details that go into the header and the signature blocks.
Describe the subject and the term
Say in what context the information will be shared, and for how long the obligation lasts. This is what separates a useful NDA from a blank template.
Print or save
The document is already finished alongside. Hit generate and pick your printer, or save as PDF from the print dialog itself.
What a non-disclosure agreement is
An NDA is the contract by which whoever receives confidential information undertakes not to disclose it or use it for any other purpose. It is signed before the information is shared: a product idea, a customer list, supplier pricing, source code, study results. Signed after the conversation, it protects very little.
One-way or mutual
This builder produces a one-way agreement: one party discloses, the other receives. That is the common shape when you pitch a project to an investor, a supplier or a candidate. If both sides will exchange confidential information, what you need is a mutual agreement, and that has to be adapted by whoever signs it.
How long the obligation lasts
The term field feeds the duration clause. Portuguese law sets no fixed ceiling for contractual confidentiality, and common practice runs between two and five years after the relationship ends. An indefinite term can be written, but it is the kind of clause a court may cut back if it is disproportionate.
This is a generic template, not legal advice
The clauses were written from common Portuguese practice and cover ordinary cases. They have not been reviewed by a lawyer for YOUR situation, and there are cases where a generic template is not enough: high-value trade secrets, information under its own regulation, or a relationship where a dispute already exists. The document itself carries that warning printed in the footer, and there is no way to remove it.
An NDA does not replace the other protections
A confidentiality agreement binds whoever signs it, and nothing else. It does not register intellectual property, does not replace a patent or a trade mark, and does not stop a third party who never signed it from using the same information if it reaches them another way. If something is registrable, register it.
You still have to sign it
The document prints with signature blocks ready, but the builder does not sign anything and does not collect a digital signature. For a qualified signature, use Chave Movel Digital or another certified provider on the PDF you generated.
Questions about the non-disclosure agreement.
Does an NDA have to be notarised?
No. A confidentiality agreement between companies or individuals is valid with the parties' signatures, with no notary and no witnessed signing. Witnessing exists to strengthen proof that a signature is genuine, and is only worth it where there is a real risk the other side will deny signing.
Can I use the same NDA for several people?
Yes, by generating one for each. The document carries the name of the person receiving the information, and one agreement signed by several people on the same sheet raises doubts about who undertook what. One person, one document, one number.
Is the English version a machine translation?
No. The English and Spanish versions were written separately, not run through a translator, and switching language keeps everything you have already filled in.
Do I need an account to generate the NDA?
Yes. Each document costs one euro, as a one-off purchase: you pay for that document and there is no monthly fee. The account is created by magic link, with no password. The declaration opens without paying, one a day.
Is it saved so I can reuse it?
No. Nothing is stored once you close the page, because nothing ever leaves your browser. If you need it again, fill it in again, or keep the PDF you generated.
