Name the parties
Name, tax number and contact for each. These go into the header and the signature blocks.
Describe the collaboration and what each side brings
What the work together consists of, what each side puts in (money, work, clients, equipment, brand) and how what comes out of it is split. This is the part that gets written badly and argued about later.

A partnership is not a company
This agreement governs a collaboration between two entities that stay separate: each invoices its own work, answers for its own liabilities and keeps its own accounts. It creates no new legal entity, opens no tax number and distributes no share capital. Sharing ownership and liability means incorporating a company, and that goes through a notary or the fast-track incorporation service.
The split is where partnerships die
Fifty-fifty is easy to write and hard to apply: half the revenue or half the profit? Before or after whose costs? And who decides what counts as a cost? The clauses give the frame; the concrete answer goes in the subject and amount fields, and it is worth being tediously specific there.
Exits, and who keeps what
The term clause says when it ends, but the question that matters is what happens to what was built together: clients, equipment, brand, code. If the collaboration will produce something that outlives the agreement, write down whose it is before you start, not after.
It does not incorporate anything
It is a contract between parties that remain independent. Consortia, complementary business groupings and companies each have their own form and registration, and none of them is created by this document. If the goal is to bid jointly for a public tender, you almost certainly need one of the formal structures.
It does not handle intellectual property in detail
The clauses cover confidentiality, but do not say who owns what is created jointly. If the partnership will produce software, content, a brand or an invention, that calls for clauses this template does not carry.
It is a generic template, not legal advice
Written from common Portuguese practice, it covers ordinary cases. Partnerships involving significant investment, exclusivity, or parties in different countries deserve review. The document carries that warning printed in the footer.
Questions about the partnership agreement.
Do I need to set up a company to have a partnership?
No. Two companies or two freelancers can collaborate by contract while each carries on its own activity. Setting up a company is a separate decision, with its own costs and obligations.
How is joint work invoiced?
Usually one side invoices the client and pays the other its share against an invoice. The agreement should say which of the two invoices and within what period it pays the other, otherwise it stays open.
What if one side wants out early?
The clauses cover term and termination. What they cannot guess is who keeps what: write that into the subject matter before signing.
Do I need an account?
Yes. Each document costs one euro, as a one-off purchase: you pay for that document and there is no monthly fee. The account is created by magic link, with no password. The declaration opens without paying, one a day.
